The Capital One Software Legal team needs help to support this high growth business.
As a Senior Manager/Senior Counsel and a product counsel for Capital One Software, you will apply your acumen and analytical skills to a major, strategic initiative for Capital One. You will partner with our Capital One Software business to identify and solve legal risk alongside a team of world-class professionals. This role will need to tackle specific, nuanced legal issues related to selling a commercial software product.
Specific responsibilities include, but are not limited to:
Translating: You understand the law, the commercial software industry, and the technology itself (open source software, development, APIs, the cloud, etc.). You are fluent in, and fluidly transition between, Legalese, English, and Developer speak. You are comfortable talking to developers and Sr. Executives. You are able to take complex legal topics and explain this in a succinct and cohesive manner.
Thirst for Knowledge: You don’t know everything about everything, but when you read a draft of a presentation or article about Bayesian networks, multi-cloud, or dynamic linking you’re the type of person who wants to learn what those things are. You’re not frustrated by things you don’t know about; you’re intrigued.
Strategic Advice: Understanding the commercial software business, fostering innovation through an understanding of the applicable law, and working around the corners of novelty. You’ll be something of an explorer. You will use more than just legal skills to advise the business on strategic initiatives and issues.
Partnering to Foster Innovation: Collaborating closely with colleagues across the Legal Department to fully vet and scale risk. You’ll work to push responsible innovation in challenging gray areas. You’ll nurture new products as they grow and launch in a highly regulated environment.
An Ownership Mentality: You are the Legal point person for a commercial software product or products. You own the Legal issues, including drafting product terms, conducting export control analysis, or advising the product team on sanctions screening requirements. Don’t worry though, you’ll have plenty of support from your Capital One Legal Department colleagues.
Transaction Management: You will oversee Capital One Software deals related to your product from start to execution. You will serve as the transactional escalation point for all major deals and you must be able to effectively and efficiently prioritize competing deals to support Go To Market and Sales strategies.
Basic Qualifications:
Juris Doctor from an accredited law school
Active member in good standing of at least one state bar
At least 4 years of experience as an attorney in a law firm environment, at a government agency, as a military judge advocate, or as in-house counsel
Preferred Qualifications:
2+ years of experience in advising technology companies or banks
Familiarity with Open Source community interpretation of Open Source licenses
Knowledgeable about copyright law as applied to software
Experience drafting commercial software license agreements or product terms
Understanding cloud technology and a wide variety of other technology areas
Ability to identify effective methods of protecting intellectual property created from software, hardware and internet related products and services
Effective oral and written communication skills in communicating business and intellectual property issues with and between developers, engineers, and business leaders
Ability to assist in-house and outside litigation counsel in patent litigation issues
Strong analytical and computer skills

The minimum and maximum full-time annual salaries for this role are listed below, by location. Please note that this salary information is solely for candidates hired to perform work within one of these locations, and refers to the amount Capital One is willing to pay at the time of this posting. Salaries for part-time roles will be prorated based upon the agreed upon number of hours to be regularly worked.
Chicago, IL: $175,500 - $200,300 for Sr. Manager, Sr. CounselCandidates hired to work in other locations will be subject to the pay range associated with that location, and the actual annualized salary amount offered to any candidate at the time of hire will be reflected solely in the candidate’s offer letter.
This role is also eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
