Manager, Counsel – Contracting, Corporate Governance and Other Matters

Capital One Canada’s Legal Department is seeking a lawyer with relevant experience advising on corporate contracting and corporate governance issues, either in-house or for a large firm, to join our team in Toronto, Ontario.  The ideal candidate will have experience in the financial industry and interest in a varied and flexible portfolio. The primary responsibilities of this position will include advising on contracting matters and on corporate governance matters, however, the position may also include advising on other horizontal matters from time to time, such as fraud and privacy.

This position will require occasional travel, such as to our head offices in the United States.

Responsibilities of this position include, but are not limited to:

Advising on corporate contracting;

Advising on corporate governance matters;

Advising on other horizontal legal matters, such as fraud and privacy;

Collaborating with internal team of legal professionals, a network of outside counsel, and business clients to deliver effective solutions to legal issues;

Partnering with business clients to proactively identify new and ongoing legal risks;

Developing and adopting practices and measures that ensure legal compliance and to mitigate legal risks; and

Remaining apprised of, and educating internal team of legal professionals and business clients on, new and ongoing legal risks.

Basic Qualifications:

Post-graduate university degree in law (LLB or JD)

Member in good standing of the Ontario Bar.

At least 4 years of relevant legal experience in an in-house or firm

Preferred Qualifications:

Experience in the financial industry

Litigation experience
