SIG is a strategically forward thinking and growing team focused on creating and managing various risk sharing partnerships and programs (joint ventures, insurance programs, sourcing arrangements) with institutional capital (lenders, insurance companies, private debt and equity funds, real estate investment companies) that make Capital One’s Commercial Bank more relevant to its customers. You’ll be a key player in supporting this highly regarded team by counseling on the creation and maintenance of these novel and exciting partnerships and business arrangements. You will work closely with key business partners to develop legal solutions to complex business problems. And you’ll do it all in a collaborative, supportive environment that values your insight, promotes continuous learning, and rewards creative thinking.
Representative responsibilities include:
Work side-by-side with business partners to structure, develop and manage various complex and innovative programs with institutional investors, such as strategic partnerships, joint ventures, structured vehicles, non-payment/credit insurance programs, minority equity investments and other alternative investment structures
Review, negotiate, and advise on various commercial program agreements, including non-payment/credit insurance policies, limited liability company agreements, joint venture agreements, shareholder agreements, sourcing agreements, and confidentiality agreements
Advise the SIG team on a wide variety of complex legal matters and closely collaborate with subject matter experts and other stakeholders in many disciplines, including, regulatory, tax, securities, real estate, etc.
Manage and coordinate outside counsel in an effective and efficient manner
Support the internal approval & new product introduction processes by preparing or reviewing internal presentations covering legal risks/mitigants
Review external marketing materials for building strategic relationships with institutional investors
Assist with the preparation of internal program roll-out training presentations
Ensure corporate formalities (signature delegations, resolutions, adherence to procedures) observed across all aspects of the programs
Escalate issues, as appropriate, and partner collaboratively to identify issues and share potential concerns and ideas with other legal teams across the enterprise
Review and streamline policies and procedures
Our ideal candidate will have the following experience and skills:
Flexibility to work effectively both in teams and independently, simultaneously manage multiple complex matters, make effective decisions and collaborate with and influence clients
Excellent negotiation and drafting skills
Strong organizational skills with impeccable attention to detail
Exceptional analytical, oral and written communication skills
Willingness to take on new responsibilities, and handle novel issues
Ability to build collegial and effective relationships with business colleagues, attorneys, paralegals, and administrative assistants at all levels of the company
Ability and desire to understand, explore and solve very complex legal and business issues
Basic Qualifications:
Juris Doctor from an accredited law school
Active member in good standing of at least one state bar
At least 4 years of experience in a law firm, government or an in-house legal department, or a combination, with a focus on drafting and negotiating, and providing advice and counsel on, complex transactions to clients in the financial services industry
Preferred Qualifications:
At least 6 years of experience drafting and negotiating, and providing advice and counsel on, complex transactions to clients in the commercial financial services or commercial banking industry
Significant experience with corporate and strategic transactions, structured finance transactions or risk sharing arrangements (i.e., mergers and acquisitions, joint ventures, partnerships, non-payment/credit insurance policies, synthetic securitizations) and/or minority equity fund investments
Strong understanding of the commercial debt capital markets across multiple asset classes
Experience with commercial corporate or real estate finance
Demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels to work collaboratively to resolve issues across organizational boundaries
Proven ability to operate effectively in a complex, highly regulated, and evolving environment
