CAST (Corporate and Strategic Transactions) is a team within Capital One’s Legal Department that is comprised of a dynamic group of legal professionals who support Capital One’s transactional activity, including corporate real estate transactions, merger & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business and partnerships, and capital markets transactions. Attorneys and other legal professionals within CAST advise our diversified businesses on a broad range of business matters in a constantly changing and stimulating environment. In addition, through its bold initiatives, state of the art infrastructure, breadth of talent, and dynamic work environment, the Legal Department of Capital One has become one of the most highly admired corporate legal departments in the country.
This Principal Associate Counsel will be responsible for executing on a broad range of corporate real estate transactions, with a primary focus on retail dispositions. The successful candidate will have extensive experience negotiating commercial purchase and sale agreements, as well as lease terminations, leases and lease amendments, with sophisticated counterparties in major metropolitan markets across the U.S., and be well-versed specifically in commercial real estate closings.
Representative responsibilities include:
Drafting and negotiating purchase and sale agreements, closing documents and other ancillary transactional documents from approved templates to effectively dispose of real property;
Reviewing and responding to buyer diligence inquiries, including title, survey and environmental reports review;
Reviewing title searches and/or commitments and working closely with client and title company to clear any clouds on title;
Drafting, reviewing and negotiating utility and other service agreements and easements; land use and zoning matters; and commercial office and retail leases and subleases, lease termination agreements, and license and parking agreements, with minimal supervision;
Counseling and advising client groups on commercial real estate matters, including portfolio and facilities management and ATM operations and providing advice on complex real estate issues, including pre-litigation matters;
Engaging and coordinating outside counsel, including management of the delivery of services and cost;
Creating and overseeing repeatable, controlled processes for transactional work.
An ideal candidate will have: the ability and willingness to work as a team player, interacting with associates across departments and job levels; the ability to work in a fast-paced environment with minimal supervision; strong negotiation skills and the ability to identify, lead and manage a negotiation team; strong organizational skills with impeccable attention to detail; excellent analytical, oral and written communication skills; and the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries. The ability to manage multiple transactions, take on new responsibilities and handle novel issues is critical.
Juris Doctor from an accredited law school
Active member in good standing of at least one state bar
2 years of commercial real estate transactional experience as an attorney in a law firm or in-house legal department, with a primary focus on retail leasing and dispositions
Consider whether or not you would consider candidates with general transactions experience, but not real estate experience. If so, we would want to make a change to the BQs.
2+ years of transactional commercial real estate experience in a AM Law 100 law firm or in-house legal department, with primary focus on retail leasing and dispositions, as well as transactions in the financial services industry, representing both landlords and tenants in commercial retail leases in major metropolitan areas, and representing both buyers and sellers in real property acquisitions and dispositions.
1+ years of experience providing significant transactional support across a variety of commercial transactions, such as design & construction agreements and procurement or supply chain management transactions.
1+ years of experience managing real estate litigation matters.
